Artist Agreement
At a glance
- VYBE is a free promotion platform, not a royalty-paying streaming service. VYBE pays no royalties or license fees of any kind, to you or to anyone else, for any use of your music on VYBE or in VYBE partner apps.
- You keep ownership. You give VYBE a non-exclusive, royalty-free license to host, convert, stream, show and promote what you upload. You can release your music anywhere else.
- You earn from fans directly. Song and album sales, tips, inner circle memberships, merch and tickets that you set up. VYBE keeps 15% of sales and 10% of tips, plus payment processing costs. The rest is paid to your own Stripe account.
- You must own or control every right in what you upload (recordings, songs, samples, artwork, videos, likenesses), and your publisher, label, distributor, co-writers and any collecting society must be fine with it. Anything owed to them is your responsibility.
- Tell us about AI use. Do not upload anything you do not have the rights to.
- Partner apps are opt-in. If you switch on "Share with VYBE partner apps", approved apps can use your tracks inside their apps, also royalty-free. You can switch it off at any time.
- We can remove content and close accounts that break this agreement, and repeat infringers lose their account.
- Disputes are governed by the laws of the United Arab Emirates (Dubai).
This summary helps you read the agreement. It is not a replacement for it. If they differ, the full text below applies.
1. About this agreement
1.1 This Artist Agreement (the "Agreement") is a binding contract between you and CodeFather L.L.C-FZ, a company registered in the United Arab Emirates ("CodeFather", "VYBE", "we", "us"). It applies when you create or use a VYBE Studio account, upload content, or sell or promote anything to fans on VYBE.
1.2 This Agreement adds to the Terms of Service, the Privacy Policy and the Copyright and Takedown Policy, which also apply to you. If this Agreement and the Terms of Service conflict on anything about your activity as an artist, this Agreement applies.
1.3 You accept this Agreement by ticking the boxes and typing your name in VYBE Studio, or by uploading content. If you do not agree, do not upload content or use Studio.
2. Who can sign
2.1 You must be at least 18 years old and able to enter into a binding contract where you live.
2.2 If you sign for a band, duo, group, label, management company or other organisation, you confirm that you have authority to bind it and all of its members to this Agreement. In that case "you" means both you personally and the group or organisation, and each of you is responsible for complying with it.
2.3 You may not use Studio if you are barred from receiving payments under the sanctions laws of the UAE, the United Nations, the European Union, the United Kingdom or the United States, or if we have previously closed your account for breaking this Agreement.
3. Definitions
- "Content": everything you upload or provide, including audio, recordings, lyrics, cover art, 15 second promo loop videos, music videos linked to tracks, photos and gallery images, concert listings, credits, rights information, metadata, messages, and thank-you texts and videos.
- "Master": a sound recording. "Composition" or "musical work": the underlying song, including music and lyrics.
- "Rights holders": anyone with rights in your Content besides you, including labels, publishers, distributors, co-writers, producers, featured artists, sample owners, photographers, video makers, and collecting societies (performing rights organisations, or "PROs", and collective management organisations, or "CMOs").
- "VYBE apps": the VYBE mobile, tablet, desktop and web apps, vybemusic.com and any other service we operate under the VYBE name.
- "Partner apps": apps operated by our affiliates or by approved third parties (for example LetsPartii and FameOS) that receive tracks through the VYBE Library API.
- "Affiliates": companies that control, are controlled by, or are under common control with CodeFather.
- "Fan payments": payments from fans for song or album sales, tips, inner circle memberships, merch and tickets that you set up on VYBE.
- "Net payout": fan payments minus the VYBE fee, payment processing costs, taxes we must collect or withhold, refunds, chargebacks and any other amounts this Agreement allows us to deduct.
- ".vybe format": VYBE's own file format for storing and delivering audio and related data.
4. VYBE is a promotion platform
4.1 VYBE is a free, ad-supported music discovery, marketing and promotion platform where artists showcase their work so that people can discover them and VYBE with them. VYBE is paid for by advertising, which VYBE keeps. VYBE is not a royalty-paying streaming service, a distributor or a collecting society.
4.2 You choose to use VYBE because it promotes you and your music and gives you tools to earn directly from fans. That promotional value, and the tools to sell to fans, are the full consideration you receive for the rights you give in this Agreement.
5. No royalties
5.1 VYBE PAYS NO ROYALTIES OF ANY KIND. This includes no per-stream or per-play payments, no mechanical royalties, no public performance or communication to the public royalties, no neighbouring rights or equitable remuneration, no synchronisation fees, no advertising revenue share, and no other royalty, license fee or remuneration, to you or to any label, publisher, songwriter, co-writer, producer, featured artist, distributor, PRO, CMO or anyone else, for any use of your Content on VYBE apps or in partner apps.
5.2 YOUR WAIVER. To the fullest extent permitted by law, you waive, and agree not to bring, any claim for royalties, license fees, remuneration, revenue share or other payment against CodeFather, its affiliates, partner apps or their users, for any use of your Content allowed by this Agreement. Your only earnings on VYBE are fan payments under sections 12 to 15.
5.3 WHERE THE LAW DOES NOT ALLOW A WAIVER. In some countries a right to remuneration cannot be waived, or can only be collected by a collecting society. In that case, you agree that the value you receive under section 4.2 is fair and full remuneration to the extent the law allows, and section 6 applies to any amounts claimed.
6. Your publisher, label, collecting society and co-writers
6.1 Before you upload, you must make sure that every rights holder in your Content agrees to the uses in this Agreement on a royalty-free basis. This includes your label, distributor, publisher or administrator, co-writers, producers, featured artists, sample owners and any PRO or CMO you or they belong to.
6.2 To the extent you own or control the composition, you grant VYBE a direct license of the composition (including mechanical, reproduction, performance, communication to the public and making available rights) for all uses in this Agreement, on a royalty-free basis. Where you have assigned or exclusively licensed those rights to a PRO, CMO or publisher, you confirm that you have the right to grant this direct license (for example, through an opt-out, a direct license exception, or a written waiver), or that the rights holder has agreed to it.
6.3 You alone are responsible for any amounts owed to your rights holders, under any contract or law, arising from your Content being on VYBE apps or partner apps.
6.4 If a PRO, CMO, publisher, label or other rights holder claims payment from VYBE, an affiliate or a partner app because of your Content, then (a) section 20 (indemnity) applies, (b) we may deduct the amount we reasonably have to pay from your future payouts, and (c) we may remove the Content or restrict where it is available, with or without notice.
6.5 You must give accurate rights information in Studio, including master owner, publishing owner, PRO affiliation, ISRC, UPC and splits, and keep it up to date.
7. The license you give VYBE
7.1 You grant CodeFather and its affiliates a non-exclusive, worldwide, royalty-free, fully paid license, sublicensable as described in section 7.3, for as long as your Content is on VYBE (and afterwards as described in section 23), to:
- host, store, copy, back up and cache your Content;
- convert, encode, transcode and compress it, including into the .vybe format, and create technical versions such as different bitrates, previews, clips and loops;
- analyse it, including by automated audio analysis (for example tempo or BPM, key, energy, mood, genre and structure), fingerprinting, and checks for duplicates, infringement, safety and quality;
- stream, perform, communicate to the public, make available and display it to users of VYBE apps, including in free previews, 3D worlds, playlists, radio-style features, search, recommendations, charts, shares and embeds;
- show your name, artist name, likeness, photos, biography, artwork and credits with your Content and in relation to VYBE;
- use your Content and name in in-app features and in marketing and promotion of your music and of VYBE, on VYBE apps, websites, social media, app store listings, ads and press, including short clips and excerpts; and
- do anything else reasonably necessary to run, improve, secure and promote VYBE and to provide the features you turn on.
7.2 We do not use your audio to train generative AI models that create new music. Automated analysis under 7.1 is used to describe, organise, recommend and protect music.
7.3 We may sublicense these rights (a) to service providers who help us run VYBE (such as hosting, storage, content delivery and payments), only to provide those services to us, and (b) to partner apps, only if you switch on "Share with VYBE partner apps" and only as described in section 16.
7.4 Users of VYBE apps get a personal, non-transferable right to listen to and view your Content inside VYBE apps, as allowed by the Terms of Service and your price settings.
8. You keep ownership, no exclusivity
8.1 You (or your rights holders) keep all ownership of your Content. Nothing in this Agreement transfers ownership to VYBE.
8.2 This Agreement is non-exclusive. You are free to release, distribute, sell and license your Content anywhere else, at any time.
8.3 The VYBE name, apps, the .vybe format, 3D worlds, software, design, and any data and analysis we create (such as audio features and fingerprints) belong to CodeFather. You may use our name and badges only as we allow in our brand guidelines.
8.4 If you send us feedback or ideas, we may use them freely without paying you.
9. Your promises
You promise, every time you upload, that:
- you own or control all rights needed for the uses in this Agreement in all masters, compositions, lyrics, samples, interpolations, beats, artwork, photos, videos and any names, voices and likenesses that appear in your Content;
- all samples and interpolations are cleared in writing for these uses;
- cover versions are properly licensed for these uses, and you have any mechanical or other license required;
- every person who appears in your photos or videos, or whose voice or likeness is used, has agreed;
- your metadata, credits, rights information and splits are accurate and complete, and you are not impersonating anyone or misleading fans;
- your Content and its use under this Agreement do not infringe anyone's copyright, trademark, privacy, publicity, moral or other rights, and do not break any contract you have with a label, publisher, distributor or anyone else;
- no payment is owed by VYBE, its affiliates or partner apps to anyone because of the uses in this Agreement; and
- your Content and your conduct on VYBE are legal and comply with section 11.
10. AI-generated content
10.1 You must tell us, using the options in Studio, if any part of your Content was created or substantially changed with AI tools (for example AI vocals, voice clones, generated instruments or generated artwork). We may label it for listeners.
10.2 You must not upload AI-generated or AI-assisted Content that copies or imitates a real person's voice or likeness without their written consent, that infringes anyone's rights, or that you do not have the rights to use as described in this Agreement. You remain fully responsible for AI-assisted Content as if you created it yourself.
10.3 We may limit, label, demote or remove AI content at our discretion, including mass-produced or low-effort uploads.
11. Prohibited content and conduct
You must not upload, sell or send anything that:
- infringes copyright or other rights, or that you do not have the rights to;
- is illegal, or promotes illegal activity, terrorism or violent extremism;
- is hateful, harassing or threatening, or attacks people based on race, ethnicity, nationality, religion, gender, sexual orientation, disability or similar characteristics;
- sexualises minors in any way, or contains sexually explicit imagery;
- contains malware, hidden data, or files that are not what they say they are;
- is spam, silence, noise, duplicate uploads, or content designed to game charts, plays or recommendations;
- uses bots, paid streams, fake accounts or any artificial activity to inflate plays, sales, tips or rankings; or
- impersonates another artist or misleads fans about who made the music.
Explicit lyrics are allowed if you mark them as explicit.
12. Selling music
12.1 You can choose to sell songs and albums to fans. In Studio you can set a price per song or per album; a paid window of a number of days after release, after which the release becomes free to listen to; and a free preview of up to 60 seconds before purchase.
12.2 You set your prices, within the minimum and maximum prices and the currencies that VYBE supports. Prices shown to fans may include taxes that apply where the fan lives.
12.3 A buyer gets a personal, non-transferable license to listen to the purchased music inside VYBE apps. A purchase is not a sale of ownership and does not include download, resale or public performance rights. If you later remove a purchased release, buyers may keep access to it for as long as we reasonably can, unless the removal is for legal or rights reasons.
12.4 You must not offer fans anything you cannot deliver, and you must honour the terms you set (for example, a release you said would become free after the paid window).
13. Fees, taxes and payouts
13.1 VYBE fee. VYBE keeps a platform fee of 15% of each sale (songs, albums, inner circle memberships, merch and tickets sold through VYBE) and 10% of each tip. Payment processing costs, currency conversion costs and Stripe fees are passed through and deducted as well. We will show the fee before you set up a sale, and we will give at least 30 days notice before increasing it.
13.2 Stripe Connect. Payouts are made only through Stripe Connect to your own Stripe account. To receive payouts you must open and keep a Stripe account in good standing and complete Stripe's identity and business checks (KYC). Stripe's own terms apply to your Stripe account. We are not responsible for Stripe's decisions, delays or fees, or for payouts you cannot receive because of where you live.
13.3 Schedule and minimums. Payouts are made on the schedule shown in Studio and Stripe, and are made only once your balance reaches the minimum payout amount shown in Studio. Amounts below the minimum carry over.
13.4 Currency. Fans pay in the currency shown at checkout. Payouts are made in the currency of your Stripe account, and conversion is done at Stripe's rates.
13.5 Taxes. You are responsible for all taxes on your earnings, including income tax, VAT, GST and sales tax, and for registering and filing where required. Where the law requires us or Stripe to collect, report or withhold tax, we or Stripe will do so, and you must give us the tax information we ask for.
13.6 Refunds and chargebacks. If a fan payment is refunded, reversed or charged back, the full amount (including any fees charged to us) is deducted from your balance or future payouts. If your balance is not enough, you must repay us on request.
13.7 Holds. We may hold, delay or cancel payouts, for as long as reasonably needed (normally up to 90 days, or longer if required by law or a dispute), if we suspect fraud, artificial activity, a breach of this Agreement, a rights dispute, a claim from a rights holder, or a high rate of refunds or chargebacks. Amounts linked to fraud or a breach may be returned to fans or kept to cover our losses.
13.8 Set-off. We may deduct any amount you owe us under this Agreement from any amount we owe you.
13.9 Errors. If we pay you more than you are owed, you must repay the excess, and we may deduct it from future payouts. Tell us about any payout error within 90 days of the payout.
14. Tips, inner circles and fan messages
14.1 Fans can send you tips and join your inner circle (a monthly membership). You decide what members get, and you must deliver it as described. A fan may cancel a membership at any time.
14.2 Fans may be able to chat with you after tipping, and you may send thank-you texts and videos. You must keep these messages respectful, legal and safe.
14.3 You must not: ask fans to pay you outside VYBE for anything promoted on VYBE in order to avoid the VYBE fee; ask fans for personal information, passwords or financial details; send sexual content; or harass, pressure or mislead fans.
14.4 Minors. Some fans may be under 18. You must never contact a fan who may be a minor outside VYBE, ask for their contact details, photos or location, or arrange to meet them. We may read, review and remove messages for safety, and we report child safety concerns to the authorities.
14.5 Tips are voluntary gifts from fans. They are not payment for any specific service, and you must not promise anything in exchange for a tip that you do not deliver.
15. Merch and tickets
15.1 If you sell merch or tickets through VYBE, you are the seller. You are responsible for the product or event, its description, quality, safety, delivery, returns, customer service, consumer law duties and any taxes and duties.
15.2 If an event is cancelled or a product is not delivered, you must refund fans. We may refund fans on your behalf and deduct the amount under section 13.6.
16. Sharing with VYBE partner apps
16.1 When you upload, you can switch on "Share with VYBE partner apps". It is off unless you turn it on, and you can change it per track at any time in Studio.
16.2 If you switch it on, you allow VYBE to make the track (audio and metadata, including your artist name, credits, artwork and link) available through the VYBE Library API to partner apps, for use inside those apps (for example as background music, in playlists, parties, games and social features). This is also royalty-free, and section 5 applies to partner apps in the same way it applies to VYBE.
16.3 Partners must comply with the VYBE Library API and Partner Terms, which require them to stream only, keep your credits, show attribution, and not use the audio to train AI models. We choose and approve partners, and we may add or remove partners at any time.
16.4 If you switch sharing off, we stop offering the track to partners immediately, and partners must remove it, including from caches and saved lists, within 30 days. Content already included in a partner's earlier output (for example a video a user already recorded) may not be removable, and we are not responsible for it.
16.5 Partners do not receive any personal information about your fans from VYBE. You agree that we are not responsible for a partner's acts, but we will act on reports of misuse, including by revoking a partner's access.
17. Promotion and ads
17.1 You can buy ads for a song or album with a prepaid budget. Ads are reviewed before they run and must comply with our ad policies, which we may update.
17.2 Budgets are spent as impressions, plays or other units are delivered. Amounts already delivered are non-refundable. Unused budget from a campaign we reject or stop is refunded to you on request. Unused budget from a campaign you end may be kept as credit for future campaigns.
17.3 We do not promise any particular number of plays, sales, fans or results from ads or from being on VYBE.
18. Credits and metadata
18.1 We display credits as you provide them. We may correct, format or remove metadata that is inaccurate, misleading, offensive or does not meet our style rules.
18.2 If two people claim the same Content or disagree over credits or splits, we may hold the Content and any related payouts until the dispute is resolved between you, and we may ask for proof of rights.
19. Takedowns, removal and repeat infringers
19.1 We handle copyright notices under our Copyright and Takedown Policy, and we may remove Content when we receive a notice that appears valid.
19.2 We terminate the Studio accounts of repeat infringers in appropriate circumstances, as set out in that policy.
19.3 We do not have to host any Content. We may refuse, remove, hide, limit, label or stop selling any Content, and suspend or close any account, at any time and at our discretion, including to comply with law, to protect fans, artists, rights holders or VYBE, or because of a claim. Where reasonable and lawful, we will tell you why and give you a way to respond.
19.4 You can remove your own Content in Studio at any time. Removal from VYBE apps happens within a reasonable time, and removal from partner apps within the period in section 16.4.
20. Indemnity
20.1 To the extent permitted by law, you will defend, indemnify and hold harmless CodeFather, its affiliates, partner apps, and their directors, officers, employees and agents, from and against all claims, demands, actions, losses, damages, liabilities, fines, settlements, costs and expenses (including reasonable legal fees) arising from or related to:
- your Content, including any claim that it infringes copyright, publishing, master, trademark, privacy, publicity, moral or other rights;
- any claim by a label, publisher, distributor, co-writer, producer, featured artist, sample owner, PRO, CMO or other rights holder for royalties, license fees or other payment related to your Content;
- your breach of this Agreement or of any law;
- your messages, merch, tickets, events and dealings with fans; and
- any tax owed on your earnings.
20.2 We will tell you about a claim we want you to cover, let you control its defence with counsel we reasonably accept, and cooperate at your cost. You may not settle a claim in a way that admits fault for us or binds us without our written consent. We may take part with our own counsel at our cost.
21. Disclaimers
21.1 VYBE is provided "as is" and "as available". To the extent permitted by law, we make no promises or warranties, express or implied, including of merchantability, fitness for a particular purpose, availability, or non-infringement.
21.2 We do not guarantee any exposure, plays, fans, sales, tips, earnings, recommendations, placements or chart positions. Features, worlds, charts and algorithms change, and we may change, pause or end any feature.
21.3 We are not responsible for the acts of fans, other artists, partners, payment providers or other third parties.
22. Limitation of liability
22.1 To the extent permitted by law, CodeFather, its affiliates and partner apps will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, earnings, fans, goodwill, data or opportunity, however caused, even if we were told they were possible.
22.2 To the extent permitted by law, our total liability to you for all claims arising from or related to this Agreement or VYBE is limited to the greater of (a) the total VYBE fees we kept from your fan payments in the 12 months before the event giving rise to the claim, and (b) USD 100.
22.3 Nothing in this Agreement limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
23. Term and termination
23.1 This Agreement starts when you accept it and continues until it ends under this section.
23.2 You may end it at any time by deleting your Studio account or emailing us. We may end it, or suspend your account, at any time if you break it, if required by law, if we stop offering Studio, or with 30 days notice for any other reason.
23.3 When it ends: your Content is removed from VYBE apps within a reasonable time and from partner apps within the period in section 16.4; buyers may keep access as described in section 12.3; we will pay your remaining net payout after the hold period in section 13.7, unless we ended it for fraud or a serious breach; and we may keep copies as needed for legal, tax, accounting, safety and dispute purposes, and in backups that are deleted on their normal schedule.
23.4 Sections 5, 6, 8, 9, 13.6 to 13.9, 20, 21, 22, 23.3, 26, 27 and 28, and any other terms that by their nature should survive, survive the end of this Agreement.
24. Data and privacy
24.1 Our Privacy Policy explains how we handle your personal data, including Studio account data, acceptance records, audio analysis and fingerprints. Stripe holds your payout and identity details under its own privacy policy.
24.2 We may show you totals about your music (such as plays, sales and cities) but we do not give you personal data about individual fans, except what a fan chooses to share with you, such as their @handle or a message. You must handle any fan data you receive lawfully and only to interact with that fan on VYBE.
25. Changes to this Agreement
25.1 We may update this Agreement. We will give you at least 30 days notice in Studio or by email before a change that materially reduces your rights or increases the VYBE fee takes effect, unless a shorter time is required by law or for safety or security.
25.2 Each version has a version id. If you keep using Studio or keep Content on VYBE after a change takes effect, you accept the new version. We may ask you to accept the new version again before your next upload. If you do not agree, you can remove your Content and close your Studio account.
26. Electronic acceptance and records
26.1 You agree to accept this Agreement electronically, by ticking the acknowledgment boxes and typing your name in Studio. This is your electronic signature and has the same effect as a handwritten signature.
26.2 We keep a record of each acceptance, including the version id, the date and time, your account, the name you typed, the acknowledgments you ticked, and your IP address and device information. You agree that this record is evidence of your acceptance.
26.3 You agree to receive notices and documents under this Agreement electronically, in Studio or by email.
27. Governing law and disputes
27.1 This Agreement and any dispute or claim arising from or related to it are governed by the laws of the Emirate of Dubai and, where applicable, the federal laws of the United Arab Emirates.
27.2 Please contact us first at [email protected] so we can try to resolve the issue informally within 30 days.
27.3 If it is not resolved, the courts of Dubai have exclusive jurisdiction, except that the Dubai International Financial Centre (DIFC) Courts have jurisdiction where the law gives them jurisdiction or where both parties agree to them in writing. We may also seek urgent injunctive relief in any court with jurisdiction to protect our rights or the rights of others.
27.4 Class action and jury waiver. To the extent permitted by law, you and VYBE each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative action, and each of you waives any right to a jury trial.
27.5 If mandatory law where you live gives you rights or a forum that cannot be excluded by agreement, this section does not take those rights away.
28. General
28.1 Force majeure. We are not responsible for any delay or failure caused by events beyond our reasonable control, including outages of networks, hosting or payment providers, natural disasters, war, terrorism, civil unrest, epidemics, strikes, government action or changes in law.
28.2 Assignment. You may not transfer this Agreement or your account without our written consent. We may transfer this Agreement to an affiliate, or as part of a merger, acquisition, reorganisation or sale of assets, and we may use subcontractors.
28.3 Severability. If any part of this Agreement is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the rest of the Agreement stays in effect.
28.4 Entire agreement. This Agreement, together with the documents in section 1.2 and any settings you choose in Studio, is the entire agreement between you and us about its subject, and replaces any earlier agreement or discussion about it.
28.5 No waiver. If we do not enforce a right, that does not waive it.
28.6 Relationship. You and VYBE are independent parties. This Agreement does not create a partnership, joint venture, employment or agency relationship.
28.7 Third parties. Our affiliates and partner apps may rely on sections 5, 16 and 20 to 22. No one else has rights under this Agreement.
28.8 Language. This Agreement is written in English. If it is translated, the English version applies.
28.9 Notices. We send notices to you in Studio or to the email address on your account. You send notices to us at [email protected], or to CodeFather L.L.C-FZ, United Arab Emirates. Notices by email are received when sent, unless the sender gets a delivery failure.
